PLEASE READ THESE TERMS OF USE AND INDICATE YOUR ACCEPTANCE BY SELECTING “I ACCEPT” OR “I AGREE” OR SIMILAR BUTTONS ON THE REGISTRATION PAGE. BY COMPLETING THE REGISTRATION PROCESS TO SUBSCRIBE FOR THE GREGTANGMATH.COM OR KAKOOMA.COM SERVICE(S) AND/OR BY ACCESSING THESE SERVICE(S), YOU ACKNOWLEDGE AND REPRESENT THAT YOU ARE AN AUTHORIZED USER AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF USE AND THE SCHOLASTIC.COM TERMS OF USE AND PRIVACY POLICY.

This Agreement (the "Agreement") is between you and Scholastic Book Clubs, Inc. (“Scholastic Book Clubs”, “us” or “we”). This Agreement sets forth the terms and conditions for your subscription (your "Subscription") to the Gregtangmath.com service and/or Kakooma.com service (the each, a “Service”, and collectively, the "Services"). The operator of the Services and their related websites is Scholastic Book Clubs, Inc., 557 Broadway, New York, New York 10012, telephone 1-800-946-0131 email: software@support.scholastic.com

1. Your Rights.

   Subject to your payment of the subscription fee for the applicable Service (the "Subscription Fee") or, for Kakooma.com only, entry of an access code (“Access Code”) provided to you by Scholastic Book Clubs, Scholastic Book Clubs grants you a personal, non-exclusive, non-transferable (except as expressly permitted in connection with a classroom Subscription to Gregtangmath.com), non-sublicensable, limited right to access and use the Service on the terms set forth herein.

2. Subscription Fee and Other Charges.
   1. If you do not have an Access Code, you agree to pay, using a valid credit or debit card, the Subscription Fee set forth on the applicable Service.
   2. Gregtangmath.com subscriptions expire twelve (12) months from the date your Subscription is activated. Kakooma.com subscriptions do not expire.
   3. You are responsible for all charges incurred to access the Service through a third party service provider including without limitation internet service providers and telecommunications companies.
   4. If you opt in to automatic renewal of your Subscription, your Subscription will renew automatically for another twelve-month term at the end of the current Subscription period, and your credit card or debit card will be charged another Subscription Fee at the rate specified when you initially purchased your Subscription, unless terminated by Scholastic Book Clubs or until you cancel your Subscription. The Subscription Fee will be billed automatically to your credit or debit card at the start of the applicable subscription period, and at the start of each renewal period, unless you cancel your Subscription before the relevant period begins as set forth under Cancellation below. We will notify you of the pending renewal of your subscription prior to the date your Subscription renews and as otherwise required by law. You must cancel your Subscription before it renews in order to avoid billing of the Subscription Fee and other charges for the renewal term to your credit or debit card.

3. Account Data
   1. During the registration process for the Service, you may be required to submit certain personal information in order for us to bill you and service your Subscription, including without limitation your name, school name (if you are a teacher purchasing a classroom subscription to Gregtangmath.com), your students’ full names (if applicable), billing address, telephone number(s), applicable payment data (e.g., credit/debit card number and expiration date), and e-mail address, and you will be assigned or asked to select a user name and a password for you or your child to use to access the Service, as well as (if you are a teacher purchasing a classroom subscription to Gregtangmath.com) user names and passwords for your students to access the Service (“Account Data”). If you have an Access Code, then only the Access Code will be collected, however you will be assigned or asked to select a user name and password. Once entered on the Kakooma.com site, Access Codes become invalid and are not available for re-use.
   2. You understand, acknowledge and agree that the user names of players of the games on the Services will be posted publicly on the leaderboards for the applicable Service, in conjunction with the individual scores of such users (which may be cumulative over time and displayed in comparison with other users’ scores). User names may also be used to personalize each player’s logged-in view of the applicable Service, also in conjunction with the individual player’s scores. Top-scoring players such as those designated “Player of the Week” may also be identified publicly on the applicable Service by their user name and score. The first name of the teacher and the full names of students using the Service pursuant to a classroom subscription may be viewed by the teacher in the teacher logged-in view only, they will not be publicly posted on the Service.
   3. You agree that you will supply any Account Data to us (i) in compliance with all applicable laws, rules and regulations, including without limitation (if you are a teacher), the Family Educational Rights and Privacy Act (20 U.S.C. Sec. 1232(g)) and the regulations thereunder (34 CRF Part 99) (collectively, “FERPA”) (collectively, including FERPA, “Applicable Law”, and (ii) in accordance with all applicable permissions, rights and consents. Further, you represent and warrant that you have obtained all necessary permissions, rights and consents required by Applicable Law. You acknowledge and agree that the Services are subject to the Scholastic.com PRIVACY POLICY.
   4. You agree to provide only true, accurate, current and complete information to us in connection with your registration for and use of the Service, and you acknowledge and agree that the user name and password assigned to or selected by you in connection therewith are for your individual use only. You further agree to accept all responsibility for all activities that occur under your user name or password or otherwise under your account, and that you will not sell, transfer or assign your account or allow others to use it. You are responsible for maintaining the confidentiality of any user name and/or password that may assigned to or selected by you, so that others may not access the Service using your account and/or identity. If you are a teacher with a classroom Subscription to Gregtangmath.com, you are responsible for providing your students with their individual Account Data necessary to log-in to the Service (and only their individual log-in Account Data, not that of other students), and for ensuring that they keep such Account Data confidential and secure. If your password (or that of any of your students, if applicable) is distributed to third parties or otherwise misused, Scholastic Book Clubs shall have the right, in its sole discretion and without notice to you, to terminate this Agreement and your Subscription.
   5. You may check "My Account" from time to time to determine whether your Account Data is current and accurate, and, if it is not, to correct or update your Account Data. You agree to promptly update your Account Data, in accordance with the instructions on the Service when such updates are necessary, including without limitation in the event of any unauthorized use of your Subscription, or any breach of security, such as loss, theft, or unauthorized disclosure of your password or credit/debit card or purchase order information. If you fail to provide us with any necessary updates to your Account Data, then any notice that we may send to your old Account Data (if we have contact information for you) shall be deemed sufficient notice to you.

4. Intellectual Property

   Unless otherwise indicated, all materials on the Services, including without limitation games, text, images and software (collectively, the "Content") owned or licensed by Scholastic Book Clubs, its affiliates or their respective licensors, and are protected by United States and foreign intellectual property laws. Subject to the license below, all these intellectual property rights are reserved, and your use of the Service and the Content gives you no rights in or to the Content, including, but not limited to, any rights to the proprietary software and related documentation, or any enhancements or modifications thereto, provided to you in order to access the Service. Content that you access via the Service may be displayed, reformatted, and printed for your personal, non-commercial use only, by one (1) user on one (1) computer at a time, or, in the case of a Subscription to Gregtangmath.com, in a single classroom on up to four (4) computers at a time, for use by the teacher and up to thirty-five (35) students per Subscription. In no event shall you use the Content for any commercial or public manner, including without limitation any public exhibition, and you shall not download, reproduce, transmit, distribute or circulate the Services or the Content or any portion thereof without the prior written permission of Scholastic Book Clubs. You further agree not to interrupt, or attempt to interrupt, the operation of the Services in any way, nor shall you take any actions that disable, damage or impair the Services’ control or security systems, including without limitation by hacking, de-compiling, disassembling or reverse-engineering the Services or the Content. Notwithstanding anything contained herein, if you are a teacher with a Subscription to Gregtangmath.com, you may make a limited number of copies of Content printed by you through the Service for use in your classroom during the current school year, provided that you include any copyright or other proprietary notices that are included in such Content. You agree not to use the Content in any manner that disparages the Content or Scholastic Book Clubs or any of its affiliates, or in any manner that is inappropriate for children. You hereby grant Scholastic Book Clubs a royalty-free, worldwide, perpetual license to use or incorporate into the Services any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or anyone acting under your account relating to the Services or the Content.

5. Eligibility.

   You represent and warrant to Scholastic Book Clubs that you are a U.S. resident and have the legal right and capacity to enter into this Agreement and to perform and comply with all of its terms and conditions. You must be 13 years of age or older to register your Kakooma.com account with an Access Code. You must be 18 years of age or older to purchase a Subscription. If you are purchasing a Subscription to Gregtangmath.com, you further represent and warrant that you are a teacher in a U.S. school.

6. Cancellation.

   You may cancel your Subscription at any time by calling toll free 1-800-946-0131, emailing software@support.scholastic.com. or clicking on the “Cancel” link in the “My Account” section of the Service, located at http://gregtangmath.com/Registration/MyAccount. Unless otherwise provided pursuant to the terms and conditions of any promotional offer made available to you in connection with your Subscription, your cancellation will be processed immediately. Any remaining paid days will be refunded to your credit or debit card used to purchase the Subscription. Complimentary and gift Subscriptions are not eligible for refunds. Please allow one billing cycle for refunds to appear on your credit/debit card statement.

7. Revisions and Errata.

   The Services and the Content may contain technical, typographical or other errors. Scholastic Book Clubs does not warrant that any of the materials on the Services are accurate, complete or current. We make no commitment to correct or update any of such materials.

8. Indemnification; Release.

   Your indemnification obligations under the Scholastic.com Terms of Use, which are hereby incorporated by reference, include without limitation any third party claims arising from any breach or alleged breach of any of your representations or obligations set forth herein.

9. Modifications.

   Scholastic Book Clubs has the right to modify this Agreement and any policies affecting the Services without your prior written consent. Any modification is effective immediately upon posting to the Services or distribution via electronic mail or conventional mail. Your continued use of the Services following notice of any modification to this Agreement shall be conclusively deemed an acceptance of all such modification(s). Your only remedy if you are dissatisfied with any modifications made pursuant to this provision, or any policies or practices of Scholastic Book Clubs in providing the Services, including without limitation any change in the Content, is to cancel your Subscription in accordance with the "My Account" section of the Service. Without limitation of the foregoing, Scholastic Book Clubs has the right to modify, suspend or discontinue the Services or any portion thereof at any time, including the availability of any area of the Services or Content. Scholastic Book Clubs may also impose limits on certain features and services or restrict your access to parts or all of the Service without any notice or liability to you.

10. Term and Termination.

    This Agreement will become effective upon your acceptance by selecting “I accept” or “I agree” in the registration process for the Service and will remain in effect for the applicable Subscription period. In addition to any other rights set forth herein or in the Terms of Use, Scholastic Book Clubs may terminate this Agreement if (a) you violate the terms of this Agreement and/or the Terms of Use, (b) we believe your conduct in connection with the Service violates applicable law, or (c) we believe in good faith that your conduct on the Service is harmful to the interests of Scholastic Book Clubs or to other subscribers or users. If you would like to terminate your Subscription, please go to the Help section of the Service. Scholastic Book Clubs also reserves the right to restrict, suspend or terminate your access to the Service(s) in whole or in part, without notice, with respect to any breach or threatened breach by you of any portion of this Agreement, and in such event, Scholastic Book Clubs shall not be required to refund your Subscription Fee or any portion thereof. If Scholastic Book Clubs terminates this Agreement, Scholastic Book Clubs reserves the right to refuse to provide you with a Subscription for the Services in the future. Upon expiration or termination hereof, all rights granted hereunder shall revert to Scholastic Book Clubs and all access to and use of the Service by you must cease. In no event shall any ownership rights in or to the Services or the Content contained therein be transferred to you.

11. General.

    This Agreement, together with the Scholastic.com Terms of Use and the Privacy Policy, is the entire agreement between the parties relating to the subject matter herein and supersedes any prior agreements related thereto. Failure by Scholastic Book Clubs to enforce any provision of this Agreement shall not be construed as a waiver of any provision or right contained herein.
